Terms of Service
Preamble
These Terms of Service (hereinafter the "Terms") govern the contractual relationship between KAIVOR PRODUCTION LLC (hereinafter "KAIVOR Production") and any individual or legal entity (hereinafter the "Client") who subscribes to a service or engagement offered by KAIVOR Production.
Any order implies the Client's full and unreserved acceptance of these Terms.
Article 1 — Purpose
KAIVOR Production provides digital growth services for local businesses: design and development of websites, optimization of Google Business Profiles, creation and management of social content, local advertising campaigns, customer loyalty through wallet and push notifications, automations, and related training.
Article 2 — Quotes and orders
Every engagement is the subject of a personalized quote, prepared free of charge after an audit. The quote specifies the nature of the services, the deliverables, the timelines, the price, and the payment terms.
The order is confirmed by signature of the quote (electronic signature accepted) and, where applicable, by payment of the agreed deposit.
Article 3 — Pricing
Prices are expressed in euros. As a New Mexico LLC, KAIVOR PRODUCTION LLC is not subject to French VAT. Prices are firm and not subject to revision for the duration of the engagement.
Article 4 — Payment terms
Unless otherwise stated in the quote, the payment terms are as follows:
- A 30% deposit upon signature of the quote
- The balance upon delivery of the engagement, or according to a written agreed schedule
- For recurring (monthly) services, invoicing at the beginning of the month, payment within 8 days
Accepted payment methods: bank transfer (IBAN provided on the invoice), Stripe (credit/debit card), PayPal.
Article 5 — Delivery timelines
Delivery timelines are indicative and account for any delays attributable to the Client (provision of materials, approvals, feedback). No delivery delay may give rise to penalties, unless otherwise expressly stipulated in writing in the quote.
Article 6 — Client obligations
The Client undertakes to provide, within the agreed timelines, all materials necessary for the proper performance of the services: text, photos, access to accounts (Google Business, social media, host, domain, etc.), information about the business, feedback, and approvals.
Any delay in the Client's provision of such materials may result in an equivalent extension of the delivery timeline.
Article 7 — Ownership and use of deliverables
The deliverables (websites, content, creative work) become the full and exclusive property of the Client after full payment of the engagement. Before full payment, KAIVOR Production retains all proprietary rights in the works.
KAIVOR Production reserves the right to feature the Client in its portfolio (trade name, screenshots, performance metrics) unless an express written request to the contrary is made.
Article 8 — Warranties
KAIVOR Production warrants that the services are performed in a professional manner and in accordance with industry best practices. A 30-day warranty applies to delivered websites (technical bug fixes at no additional cost).
This warranty does not include functional changes, content additions, or corrections to materials provided by the Client itself.
Article 9 — Termination
For recurring services, the Client may terminate with 30 days' notice by email to contact@kaivorproduction.com. Amounts already paid remain acquired by KAIVOR Production in consideration of the services performed.
Article 10 — Confidentiality
KAIVOR Production undertakes to respect the confidentiality of the information communicated by the Client in connection with the engagement, and not to disclose it to third parties without prior authorization.
Article 11 — Force majeure
KAIVOR Production's liability cannot be engaged in the event of force majeure or an unforeseeable and insurmountable act of a third party (third-party infrastructure outage, failure of an online service, etc.).
Article 12 — Consumer withdrawal rights
Where applicable, consumer clients retain any mandatory withdrawal rights granted to them by the law of their country of residence. In particular, consumer clients residing in France or the European Union may benefit from a statutory cooling-off period under their national law, except where the service has been fully performed before the end of that period with the Client's express prior consent.
Article 13 — Dispute resolution
In the event of a dispute, the Client is invited to contact KAIVOR Production first in order to find an amicable solution. Failing that, consumer clients residing in the European Union retain access to the alternative dispute resolution and mediation mechanisms provided for by the law of their country of residence.
Article 14 — Governing law and jurisdiction
These Terms are governed by the laws of the State of New Mexico, USA, where KAIVOR PRODUCTION LLC is organized, without prejudice to the mandatory consumer-protection rules of the country of residence of consumer clients residing in France or the European Union, which continue to apply.
